MEMBERSHIP REWARDS AGREEMENT

Swipe and the Cardholder
These Terms and Conditions govern the Swipe Rewards Back Program. The Program is offered and administered by Swipe. Your Swipe Rewards Program for your Swipe Wallet Rewards (“Account”) is automatically enrolled in the Program and is subject to these Terms and Conditions unless and until we notify you otherwise. Use of your Account constitutes your acceptance of these Terms and Conditions. The Program Terms and Conditions are separate from the terms of your Card Holder Agreement and other Agreements for using Swipe services, as this is not associated with your Swipe Debit Card in any way. For the Terms and Conditions associated with your Swipe Debit Card, please see Cardholder Terms and Conditions on the Swipe Website. It is your responsibility to review the Terms and Conditions to be aware of any changes. For purposes of these Terms and Conditions, the pronouns “you,” “your,” “I,” and “my” are intended to mean any Wallet User. The pronouns “we,” “us,” and “our” mean Swipe.
1. Membership Rewards
With the Swipe Rewards Program (“Program”) you can earn up to 8% rewards back on each Qualifying Wallet Conversion* initiated with your Account during the Program Cycle. Program Cycle runs daily. Accrual of Rewards Back will begin on the date you open your Account. Payouts will typically be within up to 30 days after the status of an eligible transaction is marked complete. There is no limit to the amount of Card Rewards Back you can earn as it is not associated with any card program nor capped with any card limits set by an issuer. Example: If you make $100.00 in Qualifying Purchases driven by the wallet, Swipe will reward you with up to $8.00 in rewards benefits back in your wallet.
2.What are Card & Wallet Qualifying Purchases?
“Qualifying Wallet Purchases” are purchases that post to your Wallet Account, less any adjustments that are not payments. Qualifying Wallet Purchases can be made anywhere; there are no specific purchase categories associated with this Program. All merchants must be identifiable for the transaction to qualify for rewards back. From time to time, we may offer special promotions featuring a Rewards Back bonus. Details on how to earn the bonus and any limitations that apply will accompany the offer. Qualifying Wallet Purchases do not include balance transfers, cash advances, convenience checks, purchases of cash equivalents of any kind (i.e. money orders, ATM cash disbursements, gaming transactions, etc.), tax payments, finance charges, fees, credit insurance, credit protection or debt cancellation charges, transactions made with your PIN code, or unauthorized/fraudulent transactions.
3. How Do I Know How Much I Have Earned?
Your Rewards Back balance will be available in your Swipe Wallet on the Swipe App.
4. When and How Will I Receive My Rewards Back?
Rewards Back will be paid in United States Dollar (USD) equivalent of a suite of digital currencies that Swipe uses for its wallet rewards program that will be automatically be awarded to your Swipe Wallet in the Swipe App. These rewards are typically credited in your wallet account within 30 days upon the transactions eligibility status.
Other Terms and Conditions
a. Wallet Rewards Back is non-negotiable and cannot be redeemed for any benefit except those designated by us. Rewards Back is not property of any Wallet owner or other person, and may not be brokered, bartered, attached, pledged, gifted, sold, or unless specifically authorized by us, transferred to anyone else under any circumstances, including, but not limited to: disability, death or in connection with any domestic relations dispute and/or legal proceeding. We shall have no liability for disagreements between users regarding Wallet Rewards Back.
b. Once Wallet Rewards Back has been awarded and the value of any wallet transaction(s) forming part of any or all of the Wallet Rewards Back is either refunded or credited, or otherwise rescinded, we may, at our discretion, withhold subsequent Rewards Back or collect any amount(s) you owe, in any appropriate manner, including, but not limited to, the posting of an equivalent dollar debit in the form of a cash advance transaction to your Account. Such an example would be a wallet purchase of another asset that is later rescinded.
c. Discrepancies about Wallet Rewards Back earnings are not treated as credit card billing disputes as this is not a credit card, debit card or bank card rewards program. This is solely a company sponsored wallet based rewards program. Our decisions regarding Wallet Rewards Back discrepancies shall be final. Unless specifically authorized by us, Wallet Rewards Back may not be combined with other discounts, special rates, promotions or other reward programs offered by us. Unless specifically authorized by us, Wallet Rewards Back cannot be transferred between any wallets that are owned between you and another wallet owner, even if they are a Swipe Wallet owner. Rewards Back may not be combined with any other entity, including other digital wallets, any airline frequent flier, hotel frequent guest or other travel related or membership reward charge or credit card programs, whether in the Canada, U.S. or abroad.
d. We reserve the right to disqualify anyone from participation in the Program, refuse to redeem Rewards Back, and close your Wallet Account if, in our sole judgment, you or any other person(s) using the Account, have violated any of the Program Terms and Conditions, including but not limited to acts of fraud or other abuse. We retain the right to request substantiating documents evidencing appropriate purchases. We also retain the right to deny or claw back rewards for any reason at any time. You are responsible for all transactions and other activities resulting from the use of your Account. You must immediately notify us of any actual or suspected unauthorized use of your Account.
e. We may, at any time, for any reason (a) modify, delete or terminate the Program, Program Terms and Conditions, benefits or features, in whole or in part; (b) discontinue or replace any method of redemption for Rewards Back with a similar one of lesser, equal or greater value; or (c) terminate a Wallet User’s participation in the Program. Changes may affect outstanding transactions and Wallet Rewards Back, and may include, but are not limited to, the earnings rate for Wallet Rewards Back, the definition of Qualifying Purchase, and the Program Cycle. Any of the foregoing actions may be taken without prior notice even if such actions affect the value of Rewards Back already earned. The Program is not scheduled to end on a predetermined date.
f. We are not responsible for delayed or lost correspondence sent by Canadian mail, U.S. mail or any other form of delivery, including email. We assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, theft, destruction or unauthorized access to, or alteration of Rewards Back accrued and redeemed or other Program activities.
g. You agree to release Swipe and its affiliates from all liability for loss, claim, expense or damages sustained by you, in connection with the receipt, ownership or use of any Rewards Back. The foregoing shall not be liable for consequential damages, and the sole extent of liability, if at all, shall not exceed the actual value of the Rewards Back. We are not responsible for typographical errors and/or omissions in any Program document.
h. You are responsible for determining any tax liability arising from participation in the Program. Consult your tax advisor concerning tax consequences.
*The Swipe Rewards Program is based on your purchases initiated from your wallet. This is not a rewards program that is linked to your use, if any, of the Swipe Visa and/or MasterCard Debit Card. At the time your digital asset is converted in the wallet, you are eligible on certain purchases to receive these rewards to your Wallet.
